AI data room for lower-middle-market M&A
The seller’s documents, filed into the due‑diligence checklist in minutes — not days.
Upload every document at once, scanned PDFs included. The AI reads each file and files it into the right folder of your checklist, tagged with its period or as-of date. When it isn’t sure, it asks a person instead of guessing.

CertifiedSeller certified: Tax Docs — complete
How it works
-
Upload
Drop in the Seller’s documents in one batch, in whatever shape they arrive. Any file type, any folder names, scans included.
-
The AI files it
Each document is read and filed by its filename and content into a folder of the checklist, tagged with its period or as-of date. For example: Tax Docs › Federal (IRS) › Federal Return › 2021.
-
Review and certify
Confident filings are done. The rest wait in a review queue where a person picks the next folder level. The Seller then certifies each Category complete, or marks it Does not apply.
What changes on your next deal
-
Minutes of filing, not days of sorting
Upload the Seller’s folder and it comes back organized into the due-diligence checklist. Nobody spends days dragging files into folders.
-
No “unsupported file” dead ends
It reads PDFs, including scanned ones, and PNG, JPG and TIFF images through OCR, plus Word, Excel, PowerPoint, RTF and HTML. A scanned tax return or a photocopied lease is filed like everything else.
-
It tells you when it’s unsure
Filings it is confident about need no human step. Uncertain ones are marked Check AI and wait for a person to choose the next folder level.
-
A record of what the Seller attested
The Seller certifies each Category complete or Does not apply. Every certification is written to a hash-chained, tamper-evident audit log.
-
The whole deal in one room
Teaser, NDA, CIM, LOI and diligence in one place, with built-in e-sign for the NDA and LOI and access granted Buyer by Buyer.
From first look to diligence

Intermediaries
Running a sell-side process — taking a business to market and every Buyer from NDA to diligence.
Get the Seller’s documents filed against the checklist and run every Buyer from one room.
-
Buyers
Searchers, family offices, independent sponsors and small PE firms: open a room for buy-side diligence and work through the Seller’s documents against your checklist.
-
Sellers
Business owners: upload what you have as it is, then certify each Category complete or Does not apply.
Security
What is in place today, stated plainly.
Tenant isolation in the database
Each customer’s data is kept separate by row-level security enforced in the database.
Access granted per Buyer
Each Buyer sees only what you have given that Buyer access to.
Tamper-evident audit log
Certifications are recorded in a hash-chained log. Changing an earlier entry breaks the chain.
Argon2id password hashing
Passwords are stored as Argon2id hashes, never as plain text.
HTTPS everywhere
Every connection to the app is encrypted in transit with HTTPS.
AI filing
Filing decisions are made by an AI service that receives the document’s text. Text extraction and OCR run on our own servers.
Questions
What file types does it read?
You can upload any file type. The AI reads PDFs, including scanned PDFs, and PNG, JPG and TIFF images through OCR, plus Word, Excel, PowerPoint, RTF and HTML files, and files each one by its filename and content. Files it can’t read are still stored and filed by name — or sent to Check AI.
Do I have to use your checklist?
No. The default checklist has 5 Phases, 103 Categories and about 450 Items. You can also upload your own checklist as an Excel file, or reuse one you saved from an earlier deal.
What happens when the AI isn’t sure where a file goes?
The file goes to a review queue marked Check AI. A person sees how far the AI got, for example Tax Docs › Federal (IRS), and chooses the next folder level. Files the AI is confident about are filed with no human step.
What does the Seller certify, and where is that recorded?
The Seller certifies each Category of the checklist, such as Tax Docs, as complete, or marks it Does not apply. Each certification is written to a hash-chained, tamper-evident audit log, so you have a record of what the Seller attested.
Who pays, and how much does it cost?
The firm that opens the room pays: an Intermediary running a sale, or a Buyer running diligence. Pricing isn’t public yet — early-access members get it first.
